Free Washington Sales and Services Contract

1. PARTIES

This Washington Sales and Services Contract (the "Agreement") is entered into as of [DATE] (the "Effective Date"), by and between [PARTY A NAME], a [STATE] [ENTITY TYPE] with its principal place of business located at [ADDRESS] ("Provider"), and [PARTY B NAME], a [STATE] [ENTITY TYPE] with its principal place of business located at [ADDRESS] ("Client"). Provider and Client may be referred to individually as a "Party" and collectively as the "Parties."

2. SCOPE OF SERVICES AND GOODS

2.1. Services. Provider agrees to perform the services described in Exhibit A (the "Services").

2.2. Goods. Provider agrees to sell and deliver the goods described in Exhibit B (the "Goods").

2.3. Changes. Any changes to the scope of Services or Goods must be documented in a written Change Order signed by both Parties.

3. TERM AND TERMINATION

3.1. Term. This Agreement shall commence on the Effective Date and continue until [END DATE] or until the completion of the Services, unless terminated earlier in accordance with this Section 3.

3.2. Termination for Cause. Either Party may terminate this Agreement immediately upon written notice if the other Party commits a material breach of any term of this Agreement and fails to cure such breach within [NUMBER] days of receiving written notice.
