1. PARTIES

2. SCOPE OF SERVICES

2.2. Deliverables. Provider shall deliver the items specified in Exhibit A (the "Deliverables") by the dates set forth therein. Time is of the essence regarding the delivery of all Deliverables.
3. TERM AND TERMINATION
3.1. Term. This Agreement shall commence on the Effective Date and continue until [END DATE] or until the completion of the Services, unless terminated earlier in accordance with this Section 3.
3.2. Termination for Cause. Either party may terminate this Agreement immediately upon written notice if the other party commits a material breach of any term or condition of this Agreement and fails to cure such breach within [NUMBER] days after receiving written notice of the breach.
