Free Texas Sales and Services Agreement

1. PARTIES

This Texas Sales and Services Agreement (the “Agreement”) is entered into as of [DATE] (the “Effective Date”) by and between [PARTY A NAME], a [STATE] [ENTITY TYPE] with its principal place of business at [ADDRESS] (“Provider”), and [PARTY B NAME], a [STATE] [ENTITY TYPE] with its principal place of business at [ADDRESS] (“Client”). Provider and Client may be referred to individually as a “Party” and collectively as the “Parties.”

2. SCOPE OF SERVICES AND GOODS

2.1. Services. Provider agrees to perform the services described in Exhibit A (the “Services”). Provider shall perform the Services in a professional and workmanlike manner consistent with industry standards in the State of Texas.

2.2. Goods. Provider agrees to sell and deliver the goods described in Exhibit A (the “Goods”). Title to the Goods shall pass to Client upon full payment of the purchase price.

3. TERM AND TERMINATION

3.1. Term. This Agreement shall commence on the Effective Date and continue until [END DATE] or until the completion of the Services, unless terminated earlier in accordance with this Section 3.

3.2. Termination for Cause. Either Party may terminate this Agreement immediately upon written notice if the other Party commits a material breach of any term of this Agreement and fails to cure such breach within [NUMBER] days of receiving written notice of the breach.
