2. PURPOSE
The Parties wish to explore a potential business opportunity of mutual interest (the "Purpose"). In connection with the Purpose, each Party may disclose to the other Party certain confidential and proprietary information.
3. DEFINITION OF CONFIDENTIAL INFORMATION
"Confidential Information" means any information disclosed by one Party (the "Disclosing Party") to the other Party (the "Receiving Party"), either directly or indirectly, in writing, orally, or by inspection of tangible objects, including without limitation documents, prototypes, samples, plant and equipment, software, business plans, financial data, customer lists, and trade secrets. Information disclosed orally shall be considered Confidential Information if it is identified as confidential at the time of disclosure or if the nature of the information reasonably suggests its confidential status.
