1. PARTIES

This Independent Contractor Agreement (the "Agreement") is made and entered into as of [DATE] (the "Effective Date"), by and between [COMPANY NAME], a Texas corporation with its principal place of business located at [COMPANY ADDRESS] ("Company"), and [CONTRACTOR NAME], an individual/entity with a principal place of business located at [CONTRACTOR ADDRESS] ("Contractor").

2. SERVICES

The Company hereby engages the Contractor to perform the services described in Exhibit A (the "Services"). The Contractor agrees to perform the Services in a professional, workmanlike manner, consistent with industry standards in the State of Texas.

3. TERM

This Agreement shall commence on the Effective Date and shall continue until the completion of the Services, unless terminated earlier in accordance with the provisions set forth in Section 10 of this Agreement.

4. INDEPENDENT CONTRACTOR STATUS

The parties agree that the Contractor is an independent contractor and not an employee, partner, or joint venturer of the Company. The Contractor shall be solely responsible for all federal, state, and local taxes, including self-employment taxes, and shall not be entitled to any employee benefits, including but not limited to health insurance, retirement plans, or paid time off.
