1. PARTIES
This Freelance and Consulting Agreement (the "Agreement") is entered into as of [DATE] (the "Effective Date"), by and between [CLIENT NAME], a [STATE OF INCORPORATION] [ENTITY TYPE] with its principal place of business at [CLIENT ADDRESS] ("Client"), and [CONSULTANT NAME], an individual/entity with a principal place of business at [CONSULTANT ADDRESS] ("Consultant"). 2. SERVICES
2.1 Scope of Work. Consultant agrees to perform the services described in Exhibit A (the "Services"). Any changes to the scope of work must be agreed upon in writing by both Parties.
3. TERM AND TERMINATION
3.1 Term. This Agreement shall commence on the Effective Date and continue until the completion of the Services, unless terminated earlier in accordance with this Section 3.
3.2 Termination for Convenience. Either Party may terminate this Agreement upon [NUMBER] days' written notice to the other Party. In the event of such termination, Client shall pay Consultant for all Services performed up to the effective date of termination.
