1. PARTIES

This Freelance and Consulting Agreement (the "Agreement") is entered into as of [DATE] (the "Effective Date"), by and between [CLIENT NAME], with a principal place of business at [CLIENT ADDRESS] ("Client"), and [CONSULTANT NAME], with a principal place of business at [CONSULTANT ADDRESS] ("Consultant").

2. SERVICES

The Client hereby engages the Consultant to perform the services described in Exhibit A (the "Services"). The Consultant agrees to perform the Services in a professional and workmanlike manner, consistent with industry standards in the Commonwealth of Massachusetts.

3. TERM

This Agreement shall commence on the Effective Date and shall continue until the completion of the Services, unless terminated earlier in accordance with the provisions set forth in Section 9 of this Agreement.

4. COMPENSATION

In consideration for the Services, the Client shall pay the Consultant the fees set forth in Exhibit A. Payments shall be made within [NUMBER] days of receipt of an undisputed invoice. Late payments shall accrue interest at the rate of 1.5% per month or the maximum rate permitted by Massachusetts law, whichever is less.
