1. PARTIES

This Sales and Services Agreement (the "Agreement") is made and entered into as of [DATE] (the "Effective Date"), by and between [PARTY A NAME], a [STATE] [ENTITY TYPE] with its principal place of business located at [ADDRESS] ("Provider"), and [PARTY B NAME], a [STATE] [ENTITY TYPE] with its principal place of business located at [ADDRESS] ("Client"). 2.2. Goods. Provider agrees to sell and deliver the goods described in Exhibit B (the "Goods"). Title to the Goods shall pass to the Client upon full payment of the purchase price.

3. TERM AND TERMINATION

3.1. Term. This Agreement shall commence on the Effective Date and shall continue until the completion of the Services or the delivery of the Goods, unless terminated earlier in accordance with this Section 3.

3.2. Termination for Cause. Either Party may terminate this Agreement immediately upon written notice if the other Party commits a material breach of any term or condition of this Agreement and fails to cure such breach within [NUMBER] days after receiving written notice of the breach.
