1. PARTIES

This Freelance and Consulting Agreement (the "Agreement") is entered into as of [DATE] (the "Effective Date"), by and between [CLIENT NAME], a [STATE OF INCORPORATION] [ENTITY TYPE], with its principal place of business located at [CLIENT ADDRESS] ("Client"), and [CONSULTANT NAME], an individual/entity with a principal place of business located at [CONSULTANT ADDRESS] ("Consultant"). 2. SERVICES

2.2. Performance Standard. Consultant shall perform the Services in a professional and workmanlike manner, consistent with industry standards and in compliance with all applicable laws and regulations of the State of Georgia.

3. TERM AND TERMINATION

3.1. Term. This Agreement shall commence on the Effective Date and shall continue until the completion of the Services, unless terminated earlier in accordance with this Section 3.

3.2. Termination for Convenience. Either Party may terminate this Agreement upon [NUMBER] days' written notice to the other Party. In the event of such termination, Client shall pay Consultant for all Services performed up to the effective date of termination.
