Free General US Sales and Services Contract

1. PARTIES

This General Sales and Services Agreement (the "Agreement") is entered into as of [DATE] (the "Effective Date"), by and between [PARTY A NAME], a [STATE] [ENTITY TYPE] with its principal place of business located at [ADDRESS] ("Provider"), and [PARTY B NAME], a [STATE] [ENTITY TYPE] with its principal place of business located at [ADDRESS] ("Client").

2. SCOPE OF SERVICES AND GOODS

2.1. Services. Provider agrees to perform the services described in Exhibit A (the "Services"). Provider shall perform the Services in a professional and workmanlike manner, consistent with industry standards.

2.2. Goods. Provider agrees to sell and deliver the goods described in Exhibit B (the "Goods"). Title and risk of loss for the Goods shall pass to the Client upon delivery to the location specified in the Purchase Order.

3. TERM AND TERMINATION

3.1. Term. This Agreement shall commence on the Effective Date and continue until the completion of the Services or delivery of the Goods, unless terminated earlier in accordance with this Section 3.

3.2. Termination for Cause. Either party may terminate this Agreement immediately upon written notice if the other party commits a material breach of any term or condition of this Agreement and fails to cure such breach within [NUMBER] days after receiving written notice of the breach.
