1. PARTIES

This Sales and Services Agreement (the "Agreement") is entered into as of [DATE] (the "Effective Date"), by and between [PARTY A NAME], a [STATE] corporation with its principal place of business at [ADDRESS] ("Provider"), and [PARTY B NAME], a [STATE] corporation with its principal place of business at [ADDRESS] ("Client"). Provider and Client may be referred to individually as a "Party" and collectively as the "Parties."

2. SCOPE OF SERVICES AND GOODS

2.1. Services. Provider agrees to perform the services described in Exhibit A (the "Services") in a professional and workmanlike manner.

2.2. Goods. Provider agrees to sell and deliver the goods described in Exhibit B (the "Goods") to the Client at the location specified in the Purchase Order.

2.3. Changes. Any material changes to the scope of Services or Goods must be documented in a written Change Order signed by both Parties.

3. TERM AND TERMINATION

3.1. Term. This Agreement shall commence on the Effective Date and continue for a period of [NUMBER] months (the "Initial Term"), unless terminated earlier in accordance with this Section 3.

3.2. Termination for Cause. Either Party may terminate this Agreement immediately upon written notice if the other Party commits a material breach of any term or condition of this Agreement and fails to cure such breach within [NUMBER] days after receiving written notice of the breach.
