2. PURPOSE
The Parties wish to explore a potential business opportunity of mutual interest (the "Purpose"). In connection with the Purpose, each Party may disclose to the other Party certain confidential and proprietary information.
3. DEFINITION OF CONFIDENTIAL INFORMATION
"Confidential Information" means any and all non-public, proprietary, or confidential information disclosed by one Party (the "Disclosing Party") to the other Party (the "Receiving Party"), whether orally, in writing, or by inspection of tangible objects, including, without limitation, business plans, financial data, customer lists, software code, trade secrets, and technical specifications. Confidential Information shall include information marked as "confidential" or which, given the nature of the information or the circumstances of disclosure, should reasonably be understood to be confidential.
