1. PARTIES

This Sales and Services Agreement (the “Agreement”) is entered into as of [DATE] (the “Effective Date”), by and between [SELLER/SERVICE PROVIDER NAME], a [STATE] [ENTITY TYPE, e.g., Limited Liability Company], with a principal place of business at [ADDRESS] (“Provider”), and [CLIENT NAME], a [STATE] [ENTITY TYPE], with a principal place of business at [ADDRESS] (“Client”). 2. SCOPE OF SERVICES AND GOODS

2.1. Description of Services. Provider agrees to perform the services described in Exhibit A (the “Services”). Provider shall perform the Services in a professional and workmanlike manner, consistent with industry standards in the State of Colorado.

2.2. Sale of Goods. Provider agrees to sell and deliver the goods described in Exhibit A (the “Goods”) to the Client. Title to the Goods shall pass to the Client upon full payment of the purchase price.

3. TERM AND TERMINATION

3.1. Term. This Agreement shall commence on the Effective Date and shall continue until the completion of the Services, unless terminated earlier in accordance with the provisions herein.

3.2. Termination for Cause. Either Party may terminate this Agreement immediately upon written notice if the other Party commits a material breach of any term of this Agreement and fails to cure such breach within [NUMBER] days of receiving written notice of the breach.
