Free Colorado Sales and Services Contract

1. PARTIES

This Sales and Services Agreement (the "Agreement") is entered into as of [DATE] (the "Effective Date"), by and between [PROVIDER NAME], a [STATE OF INCORPORATION] [ENTITY TYPE], with a principal place of business at [PROVIDER ADDRESS] ("Provider"), and [CLIENT NAME], a [STATE OF INCORPORATION] [ENTITY TYPE], with a principal place of business at [CLIENT ADDRESS] ("Client"). Provider and Client may be referred to individually as a "Party" and collectively as the "Parties."

2. SCOPE OF SERVICES

2.1. Services. Provider agrees to perform the services described in Exhibit A (the "Services") and/or deliver the goods described in Exhibit B (the "Goods").

2.2. Changes. Any material changes to the scope of Services or Goods must be documented in a written Change Order signed by both Parties.

3. TERM AND TERMINATION

3.1. Term. This Agreement shall commence on the Effective Date and continue until the completion of the Services or delivery of Goods, unless terminated earlier in accordance with this Section 3.

3.2. Termination for Cause. Either Party may terminate this Agreement immediately upon written notice if the other Party commits a material breach of any term or condition of this Agreement and fails to cure such breach within [NUMBER] days of receiving written notice of the breach.
