Free California Sales and Services Contract

1. PARTIES

This California Sales and Services Contract (the "Agreement") is entered into as of [DATE] (the "Effective Date"), by and between [PARTY A NAME], a [STATE] [ENTITY TYPE] with its principal place of business at [ADDRESS] ("Provider"), and [PARTY B NAME], a [STATE] [ENTITY TYPE] with its principal place of business at [ADDRESS] ("Client"). Provider and Client may be referred to individually as a "Party" and collectively as the "Parties."

2. SCOPE OF SERVICES AND GOODS

2.1. Services. Provider agrees to perform the services described in Exhibit A (the "Services"). Provider shall perform the Services in a professional and workmanlike manner consistent with industry standards in the State of California.

2.2. Goods. Provider agrees to sell and deliver the goods described in Exhibit A (the "Goods") to the Client at the location specified in the Order Form. Title to the Goods shall pass to the Client upon full payment of the purchase price.

3. TERM AND TERMINATION

3.1. Term. This Agreement shall commence on the Effective Date and continue until the completion of the Services or the delivery of the Goods, unless terminated earlier in accordance with this Section 3.

3.2. Termination for Cause. Either Party may terminate this Agreement immediately upon written notice if the other Party commits a material breach of any term or condition of this Agreement and fails to cure such breach within [NUMBER] days after receiving written notice of the breach.
