3. DEFINITION OF CONFIDENTIAL INFORMATION

"Confidential Information" means any information disclosed by Disclosing Party to Receiving Party, either directly or indirectly, in writing, orally, or by inspection of tangible objects, including without limitation: documents, business plans, source code, financial data, customer lists, and trade secrets. Under California law, this includes information that derives independent economic value from not being generally known.
