2. PURPOSE
The Parties wish to explore a potential business opportunity of mutual interest (the "Purpose"). In connection with the Purpose, each Party may disclose to the other Party certain confidential and proprietary information. The Parties desire to establish the terms under which such information will be disclosed and protected.
3. DEFINITION OF CONFIDENTIAL INFORMATION
"Confidential Information" means any and all non-public, proprietary, or confidential information disclosed by one Party (the "Disclosing Party") to the other Party (the "Receiving Party"), whether orally, in writing, or by inspection of tangible objects, including, without limitation, business plans, financial data, customer lists, software, source code, trade secrets, and technical specifications. Confidential Information shall include all notes, analyses, compilations, studies, or other documents prepared by the Receiving Party that contain, reflect, or are derived from such information.
