Free California Independent Contractor Agreement

1. PARTIES

This Independent Contractor Agreement (the "Agreement") is entered into as of [DATE] (the "Effective Date"), by and between [COMPANY NAME], a [STATE] corporation with its principal place of business at [COMPANY ADDRESS] ("Company"), and [CONTRACTOR NAME], an individual/entity with a principal place of business at [CONTRACTOR ADDRESS] ("Contractor").

2. SERVICES

Contractor agrees to perform the services described in Exhibit A (the "Services"). Contractor shall perform the Services in a professional manner, consistent with industry standards, and in accordance with the specifications provided by the Company.

3. INDEPENDENT CONTRACTOR STATUS

The parties intend for Contractor to be an independent contractor. Nothing in this Agreement shall be construed to create an employer-employee relationship, partnership, or joint venture between the parties. Contractor acknowledges that they are not entitled to any employee benefits, including but not limited to, health insurance, retirement plans, or unemployment insurance. Contractor is solely responsible for all federal, state, and local taxes, including self-employment taxes.

4. COMPLIANCE WITH CALIFORNIA LAW

The parties acknowledge that this Agreement is subject to the California Labor Code and the standards set forth in Assembly Bill 5 (AB5). Contractor represents that they are customarily engaged in an independently established trade, occupation, or business of the same nature as the work performed for the Company.
